1) As goods, when being delivered to a final destination, involve many tangible and intervening points, the law protects all parties involved along with the varying interests of said parties. The UCC addressing the conditions and providing guidelines for who bears risk of loss bear importance in the prudence of extensive provisions provided. Article 2 of the UCC specifically defines what is deemed a contract along with the terms of the contract. Based on the contractual terms and agreements, the provisions are supplied that bears what is standard, according to that contract, for who bears the risk of loss. So this fair trade described in article 2 holds an undisputable amount of importance.
2) The UCC has provided a sufficient number of remedies to possible fathomable situations. To provide remedies for all possible situations is borderline impossible and unmanageable. As with almost every rule, there are exceptions to the rule. The remedies, acting as guidelines to correct and continue business according to standard business rules, will apply in situations as the situation dictates. Article 2-509 of the UCC Risk of Loss in the Absence of Breach covers the basics of who is responsible for loss when transporting goods to a seller. Depending on the situation, either the buyer or seller can be liable for loss. However, I think the idea of this provision in the UCC is not putting blame/liability of the buyer or seller, but who is responsible for working with the transportation provider to recover the loss. Being in the transportation business, I kind of deal with these types of situations once in a while. The difficult part is determining if the shipper or transportation provider caused the damage/loss of the item, which can be difficult. The UCC simplifies the process by saying if it is done this certain way, the buyer or seller will deal with it.

In no way, shape or form, can the UCC or any other form of legal guidance can or will cover every little detail that may happen between contracting parties. However, I do think the UCC does provide coverage in situations that occur more often than not. The true intention of the UCC is to assist in making contract more efficient. In addition, to fill any gaps that may be missing from a contract. The UCC is not intended to cover one-time or unique situations between parties.

This individual gave me a quote over the phone, which was within the industry standard for the area, and I agreed to it. However, when I received my first monthly bill, it was significantly higher. His reasoning what that he did not realized where I lived and the size of my yard. This individual did not act in good faith because he assumed he could take advantage of me because of where I lived. Article 2 of the UCC shows the requirements and output must be demanded or supplied in good faith for the sales of goods. Section 1–302(b) of UCC allows the parties’ agreement to provide the standards good faith, reasonableness, and diligence which can be an implied obligation for sellers and buyers under the contract that agreed. If either buyer or seller do not have enough knowledge in contract, either party take advantage of abusing prices, quality, and so on. The UCC provisions can protect against bad deals, bad faith, excessive prices and remedy meddling. If buyer or seller is unconscious about the contract, a court may refuse to enforce the contract to protect businesses from the unconscionable business behaviors.
Right before I joined the Army, I had a transportation contract due to moving my family into the hometown.
